TOCA FOOTBALL, INC. – CELEBRATE MLS ALL-STAR AT TOCA GAMES GIVEAWAY (“PROMOTION”)
Official Rules (“Official Rules”)
NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED BY LAW. PROMOTION STARTS 12:00 AM PST ON June 21, 2023 AND ENDS AT 11:59 PM PST ON July 15, 2023 (the “Promotion Period”).
1) ELIGIBILITY. The TOCA Football, Inc. (“TOCA”), Celebrate MLS All-Star At TOCA Games Giveaway is open to all individuals eighteen (18) years of age or older who are residents of any state within the continental United States. Void where prohibited by law. Employees of TOCA Football, Inc. and subsidiaries or affiliates, members of their immediate family (parents, spouses, children, siblings and their respective spouses) and persons living in the same household of each, are not eligible to enter or win. This Promotion is subject to all applicable federal, state and local laws.
2) ACCEPTANCE OF RULES. By participating in the Promotion, you are agreeing to be fully and unconditionally bound by these Official Rules, and you represent and warrant that you meet the eligibility requirements. In addition, you agree to accept the decisions of the Sponsor as final and binding as it relates to this Promotion, and all aspects thereof.
3) HOW TO PLAY. Entering the Promotion is easy. Interested entrants can simply either: i) complete the online entry form found here [https://share.tocafootball.com/2023-mls-all-star-giveaway] in its entirety and click “Submit”; or ii) send an email to marketing@tocafootball.com using the subject line “Celebrate MLS All-Star At TOCA Games Giveaway” and provide your name, email address, phone number, and zip code of primary residence. Upon receipt of either your submitted entry form or email, you will be entered in the Promotion. You may only enter once using the entry form or email methods. You may also garner two (2) additional entries by attending the TOCA Games held at participating TOCA soccer centers on July 15, 2023. The following TOCA centers will be offering TOCA Games: TOCA Colony - The Colony, TX; TOCA Lynnwood - Lynnwood, Washington; TOCA Perimeter – Atlanta, Georgia (Amwiler Road); TOCA Costa Mesa – Costa Mesa, California; TOCA Madison – Madison, Wisconsin; TOCA Naperville – Naperville, Illinois; TOCA Columbus – Lewis Center, Ohio; and TOCA Nashville – Franklin, Tennessee. You may garner a further two (2) additional entries by participating in and completing the TOCA Challenges portion of the TOCA Games held at the previously noted TOCA soccer centers on July 15, 2023. Maximum number of entries for any single individual is equal to 5.
4) PRIZES: Four (4) Promotion winners (each a “Winner”) will be chosen by random drawing. Each Winner will receive a trip to Washington, D.C on July 18-20, 2023 to attend MLS All-Star game (the “Prize”) including: (a) two round trip, economy class airline tickets to Washington, D.C; (b) a two night stay at a Washington, D.C. area hotel (double occupancy); (c) two tickets to MLS All-Star Game, being held on July 19, 2023; (d) transfers to and from the airport in Washington, D.C. and the applicable hotel; (d) a welcome gift basket at the hotel; (e) attendance at an Ice Cream Social with TOCA’s founder and former MLS/EPL player Eddie Lewis; and (f) dining allowance. The approximate retail value of the Prize for each Winner is $4,400. Actual/Appraised value of the Prize may differ at the time of Prize award. For example, the actual value will vary by Winner based on applicable airfare and hotel costs. Prizes are not transferable, substitutable or redeemable for cash. Sponsor reserves the right to substitute prizes of similar nature and of equal or greater value, at its sole discretion. Prizes are awarded with no warranty or guarantee, either express or implied, by Sponsor. Winners are solely responsible for paying any and all applicable federal, state and/or local taxes, if any, attributable to receipt of the Prize. Unclaimed Prize(s) may not be awarded.
MLS game, event, and exhibition dates and times are determined in the sole discretion of MLS and/or the applicable MLS team, as applicable, and may be subject to change. Exact seat locations will be determined by Sponsor. The terms and conditions of the tickets awarded as prizes will govern in the event a game, event or exhibition, as defined by MLS, is not played due to weather, an Act of God, an act of terrorism, civil disturbance, work stoppage or any other reason. Winner and his/her guest(s) agree to comply with all applicable stadium regulations in connection with the Prize. Sponsor and the applicable MLS Entities reserve the right to remove or deny entry to Winner and/or his/her guest(s) who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at any game, event or exhibition. Released Parties (as defined below) will not be responsible for weather, Acts of God, acts of terrorism, civil disturbances, work stoppage or any other event that may cause the cancellation or postponement of any MLS game, event or exhibition
5) ODDS OF WINNING. The odds of winning the Promotion are dependent on the number of entries received and the number of times an individual is entered. The Sponsor estimates that it will receive approximately 1,500 entries. As such, the estimated odds of winning Prize are between 1 in 1,500 and 5 in 1,500, depending on the number of entries the applicable entrant has garnered.
6) NOTIFICATION OF WINNERS: The four randomly selected Winners will each receive the Prize, subject to the terms of these Official Rules and verification of eligibility. Winners will be notified by email and/or phone at the email address and/or phone number provided, by July 16, 2023. Winners must respond to the prize notifications within twenty-four (24) hours. If a winner does not claim a Prize, the Prize will be forfeited, and a substitute winner may be chosen.
All entries will be verified. Non-compliance with these Official Rules may result in disqualification.
Acceptance of the Prize constitutes permission for Sponsor, the MLS Entities, and/or their designees to use, where permitted by law, Winner’s (including their guest) name, likeness, picture, image or statements related to the Promotion for advertising, publicity, news, trade, public relations and promotional purposes, in any and all media now or hereafter known throughout the world, without any further compensation, notice, review or consent.
7) GENERAL CONDITIONS: Sponsor and the MLS Entities (as defined below), together with any subsidiaries or affiliates and their respective directors, officers, employees, members, shareholders, representatives and agents (collectively, the “Released Parties”) are not responsible for technical, hardware, software, telecommunications, network, electronic, or telephone malfunctions or failures of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any part of the equipment or programming associated with or used in this Promotion or by any typographical, printing, human or other errors relating to or in connection with this Promotion, including, without limitation, errors which may occur in the administration of the Promotion, the processing or verification of entries, the announcement of the Prizes, any Promotion related materials, or for entries which are late, lost, stolen, misdirected, undelivered, garbled, delayed by computer transmissions, or damaged. Sponsor reserves the right to cancel or modify this Promotion if fraud, technical failures (including but not limited to computer virus, bugs or unauthorized intervention) or any other factor beyond Sponsor’s reasonable control impairs the integrity of the Promotion, as determined by the Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the Promotion or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. In the event of a dispute as to the identity of an entrant, Sponsor shall, in its sole discretion determine the validity of that entry. The use of any automated launching or entry software or any other mechanical or electronic means that permits the entrant to automatically enter repeatedly is prohibited. ANY ATTEMPT BY ANY PERSON TO UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PREMITTED BY LAW. SPONSOR’S FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF THAT OR ANY OTHER PROVISION HEREOF. By entering the Promotion, all entrants release and hold harmless the Released Parties from any and all liability for any claims, costs, injuries, losses, actions or damages of any kind (including without limitation related to personal injury, death, damage to property, infringement of proprietary rights, rights of publicity or privacy or defamation) arising out of or in connection with participating in the Promotion or acceptance, use, nonuse or misuse of the Prize.

Major League Soccer, LLC (“MLS”), Soccer United Marketing, LLC (“SUM”), Pro Soccer Development L.P., Player Development, LLC (together with MLS and SUM, the “MLS Entities”) and their affiliates are not a Sponsor or administrator of this Sweepstakes and are in no way responsible or liable for the administration of this Sweepstakes.
